Summary
Resonance Energy Ltd. (the Company) has retained Canadian Energy Advisors to market the sale of the Corporation and their North Dakota subsidiary Resonance Exploration (North Dakota) LLC. Resonance Energy management has a preference to sell the complete corporation to one party however; they are open to selling the individual corporate entities separately.
The Company is engaged in the exploration and production of oil and gas assets in North Dakota and Alberta and started in 2011 with a modest amount of seed capital to facilitate the investigation of various exploration and acquisition opportunities in Western Canada. In February of 2013, Yorktown Energy Partners IX, LP provided an equity investment allowing the Company to acquire all the outstanding shares Nytis, a company affiliated with Yorktown IX.
In September 2013, Resonance Exploration purchased mineral rights and established a land position in Bottineau County North Dakota. Prospective zones included the Spearfish, Berentson and Midale formations. Yorktown Energy Partners X, LP provided financing for exploration and development of the oil and gas assets of Resonance Exploration (North Dakota) LLC.
The Company subsequently sold its indirect Canadian properties in two separate transactions; one in January 2016 and the other in February 2017 to unrelated third parties in order to concentrate its efforts in North Dakota. In 2024 the Company recommenced operations in Alberta.

In North Dakota the primary area of focus is the Berentson and Spearfish Formations
Berentson formation at Westhope, South Westhope and Russell is a producing waterfood responsive reservoir. The Vertical Berentson well has produced 1,414 Mbbls demonstrating reservoir continuity and longevity. Horizontal Offset wells exceed 170 Mbbls cumulative production.
The Russell area includes 13 single-leg horizontals, averaging ~59 BOPD in Year One, operated by Empire ND. Westhope currently offers up to 5 multilateral drilling locations. Spearfish Pools at Westhope and South Westhope show proven and pending waterflood upside.
Horizontal and multilateral infill drilling, waterflood expansion with low geological risk and proven production.

In Alberta, the Cummings formation is the primary growth focus.

Killam Cummings Pool: ~20 MMbbls OOIP and only 22 Mbbls produced to date presents tremendous upside. At 10% recovery with 2 MMbbls recoverable, the Cummings represents a substantial remaining resource. 6–8 drilling locations have been identified on both Crown and Freehold lands. Estimated Economics are highly favorable; CAPEX ~ $2.7 MM; First year average oil rate ~ 136 BOPD; Payout in ~1.2 years.
Garden City Cummings Pool: 6,080 acres (100% Crown) with light oil (~32 API). OOIP of ~17 MMbbls with ~1.6 MMbbls recoverable (10% Recoverable). Vertical wells demonstrate 3-4 metres pay, 18-25% porosity and strong first-year rates – 32 BOPD. Pressure data suggests limited depletion supporting horizontal redevelopment.
Estimated Economics; CAPEX ~$2.4 MM; payout ~1 year; 8-10 horizontal follow-up locations identified.
Lloydminster McLaren Sand Play: Marine Sandstone with 18-27% porosity and up to 1,500 mD permeability. Vertical wells historically produced 20 – 150 Mbbls. Net pay of 5-15 ft., ideal for multilateral drainage; seismic confirms channelized trapping and structural closure. Multileg horizontals expected 200+ BOPD IPs. Recoverable oil estimated at ~780 Mbbls per half-section pool. Estimated Economics: CAPEX ~$2.1 MM; Payout in<1 Year.
